PLEASE READ THESE TERMS CAREFULLY BEFORE ENABLING THE BIOCENTURY CONNECTOR. BY CLICKING "ALLOW ACCESS" OR OTHERWISE ENABLING THE CONNECTOR, YOU REPRESENT AND WARRANT THAT YOU HAVE LEGAL AUTHORITY TO ACCEPT THESE TERMS ON BEHALF OF YOURSELF AND, IF APPLICABLE, THE ORGANIZATION HOLDING THE APPLICABLE BIOCENTURY SUBSCRIPTION, AND TO BIND SUCH ORGANIZATION TO THESE TERMS. IF YOU DO NOT HAVE SUCH AUTHORITY OR DO NOT AGREE TO THESE TERMS, DO NOT ENABLE THE CONNECTOR.

These BioCentury Connector Terms of Use (these "Connector Terms") govern your access to and use of the BioCentury Connector (the "Connector"), which enables you to query BioCentury publications, data, and information (the "BioCentury Content") from within one or more supported artificial intelligence (AI) platforms, including but not limited to those operated by Anthropic, OpenAI, Google, Microsoft, and Perplexity (each, an "AI Provider" and collectively, the "AI Providers"). These Connector Terms are entered into between you and BioCentury Inc., a California corporation ("BioCentury").

These Connector Terms supplement, and do not replace, your existing BioCentury User Agreement or BioCentury Group License Agreement (or any successor or similarly named agreement governing your BioCentury subscription or access rights), as applicable, together with any applicable order form (your "Customer Agreement"). In the event of any conflict between these Connector Terms and your Customer Agreement with respect to use of the Connector, these Connector Terms control. Except as expressly modified by these Connector Terms, your Customer Agreement remains in full force and effect.

1. Eligibility and Account Linking

1.1 You must be a current BioCentury subscriber in good standing under a Customer Agreement to enable the Connector.

1.2 By enabling the Connector, you authorize BioCentury to verify your subscription status and entitlements each time the Connector is invoked and to limit the BioCentury Content delivered through the Connector to the publications and services covered by your subscription.

1.3 You are responsible for safeguarding your credentials and any authorization tokens issued in connection with the Connector. You will promptly notify BioCentury of any unauthorized access or suspected compromise of your credentials or authorization tokens.

2. AI Providers; No BioCentury Responsibility for AI Provider Products

The Connector operates within one or more AI Provider platforms. Your use of any AI Provider platform is governed by your separate agreement with that AI Provider, including the applicable terms of service, usage policy, and privacy policy of that AI Provider (collectively, the "AI Provider Terms"). BioCentury is not a party to any AI Provider Terms and has no responsibility or liability for any AI Provider's products, services, or data practices.

3. Permitted Use

3.1 Subject to your Customer Agreement and these Connector Terms, BioCentury grants you a limited, non-exclusive, non-transferable, revocable license to access BioCentury Content through the Connector solely for your internal business or personal research use, within the scope and entitlements of your existing BioCentury subscription.

3.2 The Connector is a separate delivery channel for BioCentury Content. Permitted uses under your Customer Agreement apply to Connector use only to the extent expressly consistent with these Connector Terms. Where these Connector Terms impose narrower restrictions than your Customer Agreement, these Connector Terms govern with respect to Connector-delivered content.

3.3 Access through the Connector is personal to you and may not be shared with, transferred to, or pooled across other users, teams, or organizations. Any act or omission by an individual accessing the Connector through your account will be deemed your act or omission, and you will be responsible for any breach of these Connector Terms as if you had committed it yourself.

4. Restrictions

You will not, and will not permit any third party (including any AI system, automated agent, or tool under your control) to:

(a) Use the Connector or any BioCentury Content retrieved through the Connector to train, fine-tune, evaluate, benchmark, or otherwise develop or improve any AI or machine learning model, including any large language model, embedding model, or retrieval-augmented generation system;

(b) Use the Connector to scrape, harvest, mirror, index, or build a substitute or competing database from BioCentury Content, or to extract BioCentury Content in excess of what is reasonably necessary to respond to a specific, individual user query;

(c) Republish, redistribute, syndicate, resell, sublicense, or publicly display BioCentury Content or AI-generated outputs that include or are substantially derived from BioCentury Content, except as expressly permitted under your Customer Agreement;

(d) Remove, alter, or obscure any attribution, copyright notice, watermark, or citation contained in or associated with BioCentury Content or Connector outputs;

(e) Use the Connector to make automated decisions affecting another person--including trading, investment, lending, hiring, or medical decisions--without appropriate human review;

(f) Circumvent or attempt to circumvent any AI Provider's safety controls, BioCentury's rate limits, entitlement controls, or any technical protection measures;

(g) Engage in prompt-injection or other techniques designed to cause any AI Provider platform or the Connector to act against BioCentury's or other users' interests, or to exfiltrate data; or

(h) Use the Connector in violation of the applicable AI Provider Terms or applicable law, including export controls, sanctions, securities laws, AI transparency laws, and data protection laws.

Any breach of this Section 4 will constitute a material breach of these Connector Terms and your Customer Agreement.

5. AI Outputs; Disclaimers on Connector Use

5.1 AI-Generated Outputs. The Connector operates through one or more AI Provider platforms. Outputs you receive may be generated, summarized, or paraphrased by the applicable AI Provider's system and may include content derived from BioCentury Content, third-party sources, or the AI Provider's own underlying model. AI outputs can be incorrect, incomplete, out of date, biased, or fabricated, including through misattribution or hallucinated citations, even where the output appears to quote or cite BioCentury Content.

5.2 You are solely responsible for independently verifying any Connector output before relying on it for any purpose. Your use of any Connector output is at your own risk.

5.3 Not Professional Advice. Nothing generated through the Connector constitutes, or should be treated as, investment, financial, legal, medical, regulatory, or other professional advice. Connector outputs are informational research aids only. BioCentury has no liability, contingent or otherwise, for any decision made or action taken in reliance on any Connector output.

5.4 AI Disclosure. In accordance with the applicable AI Provider Terms and applicable law, you acknowledge that you are interacting with an AI system when using the Connector.

6. Data Handling and Privacy

6.1 When you use the Connector, the queries you submit, the BioCentury Content returned, and session metadata may be processed by the applicable AI Provider in connection with the operation of that AI Provider's platform. That processing is governed by the applicable AI Provider Terms. As set forth in Section 2 of these Connector Terms, BioCentury does not control how any AI Provider processes that data.

6.2 BioCentury collects only the data necessary to authenticate you, verify your subscription entitlements, deliver the BioCentury Content you request, prevent abuse, and operate and improve the Connector. BioCentury's collection and use of your personal data is governed by the BioCentury Privacy Policy, available at https://www.biocentury.com/privacy-legal/privacy-policy.

6.3 You should treat queries submitted through the Connector as potentially visible to the applicable AI Provider and any sub-processors that AI Provider employs. You will not submit through the Connector any personal data of third parties, material non-public information, attorney-client privileged content, confidential information of any third party, or any other information you are not authorized to share with an AI system or its provider.

7. Proprietary Rights

7.1 As between you and BioCentury, BioCentury and its licensors own all right, title, and interest in and to the BioCentury Content, the Connector, and all related intellectual property. These Connector Terms do not transfer any ownership of any of the foregoing to you. You agree to comply with reasonable requests by BioCentury to protect BioCentury's rights in and to the BioCentury Content and the Connector.

7.2 To the extent Connector outputs incorporate or are derived from BioCentury Content, your right to use those outputs is limited to the rights granted in Section 3 and is subject to the restrictions in Section 4. Any ownership rights you may have in an AI Provider platform’s outputs under the applicable AI Provider Terms do not override BioCentury's underlying rights in BioCentury Content.

8. Security and Acceptable Use

8.1 You will use commercially reasonable security practices for any system or device through which you access the Connector. You will not introduce malicious code or attempt to probe, test, or compromise the security of the Connector or BioCentury's systems without BioCentury's prior written consent.

8.2 BioCentury reserves the right to suspend, disable, or revoke your access to the Connector at any time in accordance with Section 13 if BioCentury reasonably determines that you have violated these Connector Terms, your Customer Agreement, the applicable AI Provider Terms, or applicable law, or if continued access creates undue risk to BioCentury, any AI Provider, or other users.

9. Third-Party Services; No Endorsement

9.1 As described in Section 2, BioCentury does not control any AI Provider's platform, infrastructure, or processing of your data, and makes no guarantee as to the availability, accuracy, security, or performance of any AI Provider's services. BioCentury has no liability for any interruption, unavailability, or change to the Connector resulting from any AI Provider platform's downtime, policy changes, service modifications, or removal of the Connector from any AI Provider's directory or marketplace.

9.2 The Connector may interoperate with other connectors, plugins, or tools you have separately enabled within an AI Provider's platform. BioCentury is not responsible for any such third-party tools and disclaims all liability for interactions between BioCentury Content and those tools.

10. Disclaimer of Warranties

THE CONNECTOR AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." WITH THE EXCEPTION OF THE LIMITED WARRANTIES SET FORTH IN YOUR CUSTOMER AGREEMENT, BIOCENTURY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE CONNECTOR AND ANY CONNECTOR OUTPUTS, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. BIOCENTURY DOES NOT WARRANT THAT THE CONNECTOR WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. NO ACCOUNTING, FINANCIAL, INVESTMENT, LEGAL, OR OTHER PROFESSIONAL ADVICE OR COUNSEL IS GIVEN, OR SHALL BE DEEMED TO HAVE BEEN GIVEN, BY OR THROUGH THE CONNECTOR.

11. Limitation of Liability

IN NO EVENT SHALL BIOCENTURY OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL) ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE CONNECTOR OR ANY CONNECTOR OUTPUT, EVEN IF BIOCENTURY HAS BEEN NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES.

THE FOREGOING LIMITATIONS DO NOT APPLY TO LIABILITY ARISING FROM: (A) BIOCENTURY'S WILLFUL MISCONDUCT OR FRAUD; (B) BIOCENTURY’S GROSS NEGLIGENCE; OR (C) INFRINGEMENT OF THIRD-PARTY INTELLECTUAL PROPERTY RIGHTS BY BIOCENTURY CONTENT; PROVIDED, HOWEVER, THAT SUBSECTION (C) WILL NOT APPLY TO ANY INFRINGEMENT OR ALLEGED INFRINGEMENT ARISING FROM OR ATTRIBUTABLE TO THE OPERATION OF THE CONNECTOR, INCLUDING ANY OUTPUT GENERATED BY ANY AI PROVIDER'S UNDERLYING MODEL.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIOCENTURY'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THE CONNECTOR OR ANY CONNECTOR OUTPUT — WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE — SHALL NOT EXCEED THE MAXIMUM AGGREGATE LIABILITY CAP APPLICABLE UNDER YOUR CUSTOMER AGREEMENT. THIS LIMITATION REFLECTS THE FACT THAT THE CONNECTOR IS A SUPPLEMENTAL DELIVERY CHANNEL PROVIDED IN ADDITION TO YOUR EXISTING SUBSCRIPTION, AND THAT YOUR PRIMARY RIGHTS AND REMEDIES WITH RESPECT TO BIOCENTURY CONTENT ARE GOVERNED BY YOUR CUSTOMER AGREEMENT.

12. Indemnification

You will defend, indemnify, and hold harmless BioCentury, its affiliates, and their respective officers, directors, employees, shareholders, members, agents, and representatives from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your breach of these Connector Terms or any provision of your Customer Agreement applicable to the Connector; (b) your misuse of the Connector or any Connector output; (c) your violation of applicable law in connection with the Connector; or (d) any claim that content or information you submitted through the Connector infringes or violates the rights of any third party.

13. Modifications, Suspension, and Termination

13.1 BioCentury may modify, suspend, or discontinue the Connector, in whole or in part, at any time with or without notice. BioCentury may also modify these Connector Terms by posting an updated version at https://www.biocentury.com/privacy-legal/ai/biocentury-connector-terms-of-use and requiring re-acceptance prior to continued use of the Connector. Your continued use of the Connector following any modification constitutes your acceptance of the revised Connector Terms.

These Connector Terms terminate automatically upon the termination or expiration of your Customer Agreement, upon the Connector’s removal from all AI Provider directories and platforms such that the Connector is no longer available through any AI Provider platform, or upon your revocation of the Connector authorization. The provisions of Sections 4, 5, 6, 7, 10, 11, 12, and 14.1 will survive any termination or expiration of these Connector Terms.

14. General

14.1 Governing Law; Dispute Resolution. These Connector Terms are governed by, and construed in accordance with, the laws of the State of California, without regard to its conflicts of laws rules. Any dispute arising under these Connector Terms will be resolved in the manner specified in your Customer Agreement, including by binding arbitration administered by the American Arbitration Association in San Mateo County, California in accordance with its commercial arbitration rules. The prevailing party in any such proceeding is entitled to recover its reasonable attorneys' fees.

14.2 Relationship to Customer Agreement. These Connector Terms incorporate and are subject to the terms of your Customer Agreement, including provisions relating to proprietary rights, indemnification, limitation of liability, governing law, and dispute resolution. Capitalized terms used but not defined in these Connector Terms have the meanings given to them in your Customer Agreement.

14.3 Severability. If any provision of these Connector Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14.4 No Waiver. BioCentury's failure to enforce any provision of these Connector Terms shall not constitute a waiver of its right to enforce that provision in the future. All waivers must be in writing to be effective.

14.5 No Assignment. You may not transfer or assign these Connector Terms or any rights hereunder without BioCentury's prior written consent. BioCentury may assign these Connector Terms to an affiliate or in connection with a merger, acquisition, or corporate reorganization.

14.6 Entire Agreement. These Connector Terms, together with your Customer Agreement, constitute the entire agreement between you and BioCentury concerning the Connector and supersede all prior discussions and agreements relating to the same subject matter.
