Zila, Bio-Dental Technologies Corp., CTM Associates deal

The companies signed a letter of intent to merge BDTC, a marketer of dental products, management systems and intraoral cameras, into ZILA in a stock transaction. BTDC's Supply House subsidiary will become the exclusive U.S. distributor for ZILA's OraTest oral cancer diagnostic, which is awaiting FDA approval.

ZILA will exchange 0.75-0.825 shares of its common for each of BDTC's 6.4 million shares outstanding. ZILA, which closed at $8.25 on Friday, has 24 million shares outstanding prior to the acquisition. ...
