Gensia Inc., The Upjohn Co. deal

GNSA (San Diego) and Upjohn restructured their April 1993 alliance to develop, manufacture and market multisource oncolytic drugs in the U.S. Under the proposed terms, which must be approved by Upjohn's board, the Kalamazoo, Mich., company would pay $50 million in cash to GNSA.

In the U.S., both companies will have the right to market etoposide and doxorubicin, which are already sold by GNSA, and cisplatin, which will come off patent in about a year. Both companies will have the right to develop and introduce other new products in the U.S. in 1998 and thereafter. ...
