BioWhittaker Inc., Clonetics Corp., Wampole Laboratories deal

BWI sold its infectious and autoimmune diagnostic test kit product line in the ELISA format to Wampole Laboratories, a division of Carter-Wallace Inc., for $9 million in cash. In addition, BWI agreed to sell its infectious and autoimmune diagnostic test kit in the FIAX format for $1 million in cash. Both lines accounted for about $12 million, or 22 percent, of BWI's fiscal 1995 sales.

BWI agreed to manufacture both test kits for a transition period, and will sell work-in-process and raw material inventory to Wampole designees for two years. Wampole also will puchase finished goods inventory and certain diagnostic testing instrumentation at cost on a deferred basis. ...
