Goldfarb Corp. and Novopharm Ltd. offered to acquire 20 percent of DEPLF through the purchase of about 4 million treasury shares, at a price not to exceed C$2.75 per share, according to DEPLF. Goldfarb and Novopharm also would purchase warrants for C$0.25 to acquire an additional 19.3 percent.
DEPLF said it is giving "serious consideration" to the offer, which would install Martin Goldfarb as chairman, with current chairman Geoffrey Shulman becoming a director and advisor to the president. Shulman and Martin Barkin, DEPLF president and CEO, also would acquire treasury securities, not to exceed about 10 percent of the company's shares outstanding.
