Alpha Innotech, Cell Biosciences deal

Cell Biosciences will acquire proteomics company Alpha Innotech for $1.50 per share or about $17.9 million in cash. The price is a 70% premium to Alpha Innotech's close of $0.88 on Sept. 4, the last trading day before the deal was announced. The deal gives Cell Biosciences Alpha Innotech's genomic and proteomic imaging systems and will expand Cell Biosciences' protein analysis business. The deal also includes Alpha Innotech's $2.1 million in outstanding debt. BroadOak Partners advised Alpha Innotech. The deal is expected to close 60 days from the announcement, on Sept. 8. ...
