Bayer will acquire Monsanto for $128 per share in cash. The companies said the deal values Monsanto’s equity at $57 billion and that the company’s enterprise value is $66 billion. The price is a 44% premium to Monsanto’s close of $89.03 on May 9, before Bayer’s first written proposal, and a 21% premium to the agricultural seed company’s close of $106.10 on Sept. 13, before the signed deal was announced. The combined agricultural business will integrate Bayer’s crop protection portfolio and Monsanto’s seeds and traits and digital agriculture tools, as well as both companies’ R&D platforms. The Seeds & Traits headquarters will be located in St. Louis, while the Crop Protection and Crop Science headquarters will be in Monheim, Germany. The deal is expected to close by year end 2017. ...
